Terms of Service - ASORE Church Management

1. Acceptance of Terms

By accessing or using ASORE Church Management ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including church administrators, staff members, and individual members who access the platform.

2. Description of Service

ASORE Church Management is a cloud-based platform that provides churches with tools for:

Member management and directory
Event planning and attendance tracking
Financial management and donation tracking
Communication tools (SMS, email, notifications)
Group and ministry management
Reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old to create an account. Church administrators are responsible for managing user access within their organization.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to the Service or other accounts
Transmit any malware, viruses, or harmful code
Use the Service to send spam or unsolicited communications
Impersonate another person or entity
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble the Service
Use the Service for any commercial purpose unrelated to church operations
Share or distribute content that is illegal, harmful, or offensive

5. Data and Content

5.1 Your Data

You retain ownership of all data and content you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service.

5.2 Data Responsibility

Church administrators are responsible for:

Obtaining necessary consents from members before adding their information
Ensuring accuracy of data entered into the system
Managing access permissions appropriately
Complying with applicable data protection laws

5.3 Data Backup

While we maintain regular backups, you are encouraged to export and maintain your own copies of important data. We are not responsible for any loss of data.

6. Payment Terms

Certain features of the Service require a paid subscription. By subscribing:

You agree to pay all fees associated with your chosen plan
Fees are billed in advance on a monthly or annual basis
All payments are non-refundable except as required by law
We may change pricing with 30 days' notice to existing subscribers
Failure to pay may result in suspension or termination of your account

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ASORE and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written consent.

8. Third-Party Services

The Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to their terms and conditions.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

Your right to use the Service will immediately cease
You may request a copy of your data within 30 days
We may delete your data after 30 days of termination
Any outstanding fees will become immediately due

You may terminate your account at any time through the platform settings or by contacting support.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
ACCURACY OR RELIABILITY OF ANY CONTENT

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or data
Business interruption
Cost of substitute services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ASORE and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any content you upload or share through the Service

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Lagos, Nigeria.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on the Service or sending you an email.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
